These Terms and Conditions (hereinafter, the "Terms") govern access to and use of the website ownershipxc.com (hereinafter, the "Site") and the services provided by Ownershipxc S.A.P.I. de C.V. (hereinafter, "Ownershipxc"), a company incorporated under the laws of the United Mexican States.

1. Acceptance of Terms

By accessing and using this Site, you agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you do not agree with any of these terms, please do not use the Site.

2. Description of service

Ownershipxc operates a digital real estate collective financing platform (crowdlending) authorized by the National Banking and Securities Commission (CNBV) under the Law to Regulate Financial Technology Institutions (Fintech Law). The platform allows users to collectively participate in projects linked to the real estate sector. This Site is for informational purposes and does not constitute a public offering of securities or an invitation to invest. Participation in projects is subject to the specific terms of each operation.

3. Eligibility

To use Ownershipxc services you must: • Be at least 18 years of age. • Be a resident of the United Mexican States or have immigration documentation allowing financial operations in Mexico. • Provide truthful and complete information during the registration process. • Comply with applicable provisions regarding prevention of money laundering and terrorism financing.

4. Risks and responsibilities

IMPORTANT NOTICE: Participation in real estate crowdlending projects carries significant risks, including but not limited to: • Risk of partial or total loss of contributed capital. • Liquidity risk: contributions may not be easily convertible to cash. • Market risk: fluctuations in real estate property values. • Credit risk: default by developers or borrowers. • Regulatory risk: changes in applicable legislation. Ownershipxc does not guarantee returns or capital recovery. Past performance is not indicative of future results. Each user is responsible for evaluating risks before participating in any project.

5. Intellectual property

All content on the Site, including text, graphics, logos, images, software, and its compilation, is the property of Ownershipxc or its licensors and is protected by Mexico's intellectual property laws and applicable international treaties. Reproduction, distribution, modification, or unauthorized use of the content without prior written consent from Ownershipxc is prohibited.

6. Limitation of liability

Ownershipxc shall not be liable for: • Direct, indirect, incidental, or consequential damages arising from the use of the Site. • Interruptions, errors, or technical failures in the operation of the Site. • Losses arising from participation in crowdlending projects. • Information provided by third parties through the platform. • Force majeure events. Ownershipxc's maximum liability in any case shall not exceed the amount of fees actually charged to the claimant user during the 12 months prior to the event giving rise to the claim.

7. Applicable law and jurisdiction

These Terms are governed by the laws of the United Mexican States. For the interpretation and enforcement of these Terms, the parties submit to the jurisdiction of the competent courts of Mexico City, waiving any other jurisdiction that may correspond to them by reason of their present or future domicile.

8. Modifications

Ownershipxc reserves the right to modify these Terms at any time. Modifications will take effect upon publication on the Site. Continued use of the Site after publication of changes will constitute acceptance of the new Terms.
